Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agents Velo, including agentsvelo.com, related applications, customer portals, testing environments, AI agents, and other services that link to these Terms (collectively, the "Service").
For purposes of these Terms, "Agents Velo," "we," "us," and "our" refer to the operator of Agents Velo. "You" and "your" refer to the individual or organization using the Service.
By accessing or using the Service, creating an account, signing in through an approved sign-in method, testing an agent, approving an agent for production, or purchasing services from Agents Velo, you agree to these Terms.
1. Agreement and Eligibility
You must be at least 18 years old to use Agents Velo.
If you use the Service on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.
Our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable order form, proposal, statement of work, invoice, or other written agreement are incorporated into these Terms where applicable.
If an applicable written agreement expressly conflicts with these Terms, the written agreement controls for that specific service.
2. The Service
Agents Velo provides AI-powered conversational systems and related services.
Depending on the customer's configuration, the Service may include:
- AI voice agents;
- inbound and outbound calling;
- SMS or messaging agents;
- web chat;
- agent testing and revision;
- call routing and transfers;
- conversation recordings and transcripts;
- AI-generated summaries and analysis;
- custom conversation metrics;
- dashboards and analytics;
- integrations with customer systems;
- automated actions and workflows;
- sign-in, account, or verification features related to access to customer applications; and
- managed deployment and support.
Features may vary between customers, agents, plans, and service arrangements.
We may modify, improve, replace, limit, or discontinue features as the Service evolves.
3. Accounts, Access, and Verification
Certain features may require you to create an account, sign in, verify contact information, or maintain an approved access method.
You are responsible for:
- providing accurate and current account information;
- maintaining control of the email address, phone number, and any third-party sign-in account you use with the Service;
- safeguarding passwords, devices, and session credentials;
- ensuring that only authorized persons access your account; and
- promptly notifying Agents Velo of suspected unauthorized access or compromise.
We may require verification steps, limit certain features until verification is completed, or suspend access where account ownership, identity, security, or compliance concerns cannot be reasonably resolved.
If you choose Google as a sign-in method, you authorize us to use the limited identity information supplied by Google solely to authenticate and secure your Agents Velo account, as described in our Privacy Policy. Your use of Google sign-in is also subject to Google's terms and privacy practices. Agents Velo does not receive access to your Google content services merely because you use Google sign-in.
4. Testing and Production Use
Agents Velo may provide customers with testing environments, temporary phone numbers, agent previews, free testing periods, or other evaluation tools before production deployment.
Testing access exists solely for evaluating, refining, and approving an Agents Velo system.
You may not use testing resources to:
- conduct ongoing production business;
- service real customers or prospects as a substitute for production deployment;
- conduct unauthorized campaigns;
- avoid applicable charges;
- bypass usage restrictions; or
- use Agents Velo resources for purposes unrelated to legitimate system testing.
We may restrict or terminate testing access if we believe it is being abused.
Approval of an agent for production means that you have reviewed the agent and authorize Agents Velo to operate or deploy it according to the agreed configuration.
5. Customer Responsibilities
You are responsible for how your organization uses Agents Velo.
You are responsible for:
- providing accurate business information and instructions;
- reviewing and testing agents before production use;
- determining whether an agent is appropriate for a particular workflow;
- maintaining appropriate human oversight;
- ensuring information supplied to Agents Velo may lawfully be used;
- maintaining required permissions and authorizations;
- ensuring your employees and authorized users comply with these Terms; and
- complying with laws and regulations applicable to your business and communications.
Agents Velo may provide technical safeguards, configuration assistance, or compliance-related controls, but these do not replace your responsibility to determine the legal requirements applicable to your organization.
6. Communications and Outbound Calling
If you use Agents Velo to call, message, record, or otherwise communicate with another person, you are responsible for ensuring that the communication is lawful.
This includes responsibility for applicable requirements involving:
- consent and permission to contact recipients;
- telemarketing and solicitation;
- Do Not Call requirements;
- calling hours;
- opt-out and revocation requests;
- artificial or AI-generated voices;
- caller identification;
- required disclosures;
- call recording and transcription;
- privacy and data protection;
- SMS or messaging communications; and
- industry-specific communications requirements.
Whenever a voice conversation is recorded or transcribed through Agents Velo, the agent must clearly disclose at the beginning of the conversation that the conversation may be recorded and/or transcribed. You may not remove, delay, obscure, or circumvent this disclosure.
You represent that contact lists, customer records, campaign information, consent records, and other information supplied to Agents Velo are accurate and lawfully obtained.
You may not instruct Agents Velo to conceal, remove, disable, or circumvent disclosures or compliance safeguards required by Agents Velo.
Agents Velo may decline, suspend, restrict, or terminate a campaign, agent, destination, jurisdiction, or use case that we believe creates unacceptable legal, security, operational, or abuse risk.
7. AI Agents and Human Impersonation
Agents Velo systems use artificial intelligence and automated technologies.
Agents may generate incorrect, incomplete, inconsistent, or unexpected responses.
You are responsible for reviewing agent behavior and determining where human involvement is appropriate.
An Agents Velo agent may never be configured to falsely claim that it is a specific real human being or otherwise impersonate a human.
Every Agents Velo voice agent must clearly disclose at the beginning of the conversation that the individual is interacting with an AI or automated agent. You may not remove, delay, obscure, or circumvent this disclosure.
8. Professional, High-Risk, and Emergency Use
Agents Velo is not an emergency service and may not be used as a substitute for emergency services.
Agents Velo also may not be used to provide, make, or communicate advice, decisions, determinations, instructions, or information that applicable law requires to be provided or determined by a licensed, certified, or otherwise qualified professional.
This may include:
- medical or clinical advice;
- legal advice or legal determinations;
- financial, investment, or tax advice;
- insurance coverage or claims decisions;
- employment decisions;
- lending or credit decisions; and
- other legally significant professional determinations.
Agents may assist with appropriate administrative functions such as intake, scheduling, routing, information collection, customer support, and other support workflows.
You are solely responsible for ensuring that qualified professionals handle matters requiring professional judgment or legally binding advice.
Agents Velo does not assume responsibility for professional services, professional advice, regulated decisions, or legally binding information provided by your organization or resulting from your unauthorized use of an agent for such purposes.
9. Customer Content and Data
"Customer Content" includes information, materials, instructions, documents, contact data, knowledge bases, workflows, prompts, configurations, recordings, messages, and other content provided by or on behalf of a customer.
As between you and Agents Velo, you retain ownership of your Customer Content.
You represent that you have the rights, permissions, authority, and lawful basis necessary for Agents Velo to process Customer Content for the requested services.
You grant Agents Velo a limited, non-exclusive right to host, process, transmit, analyze, modify, and otherwise use Customer Content as reasonably necessary to provide, secure, maintain, troubleshoot, and support the Service.

10. Agents Velo Technology and Intellectual Property
Agents Velo retains ownership of its underlying technology, software, platform, interfaces, templates, processes, methods, documentation, designs, workflows, know-how, and other proprietary materials.
The creation of a customer-specific agent does not transfer ownership of Agents Velo's underlying technology or reusable intellectual property.
Ownership, transfer, licensing, or continued use of customer-specific agent configurations or deliverables following a purchase or termination may be governed by the applicable proposal, order form, or written agreement.
You may not copy, reverse engineer, extract, reproduce, resell, or use Agents Velo technology to create a competing service except where expressly permitted in writing.
11. Third-Party Services and Integrations
Agents Velo relies on third-party providers to deliver portions of the Service.
These may include providers for:
- telecommunications;
- AI voice and conversation processing;
- speech recognition;
- AI inference;
- hosting and databases;
- authentication and identity services;
- verification and abuse-prevention services;
- payment processing;
- email delivery; and
- customer-requested integrations.
Agents Velo may transmit information to these providers as reasonably necessary to deliver the Service.
Third-party systems may experience outages, errors, delays, policy changes, service limitations, or other failures outside Agents Velo's control.
If you authorize Agents Velo to connect with a customer-controlled CRM, calendar, phone system, database, webhook, or other external system, you authorize the necessary exchange of information with that system.
You are responsible for maintaining authority to access and use customer-controlled integrations.
12. Fees, Billing, and Payment
Services may be offered through recurring managed-service arrangements, usage-based pricing, one-time purchases, custom agreements, or other pricing structures.
Applicable pricing, included services, usage charges, payment schedules, renewal terms, cancellation terms, and other commercial conditions will be presented through your applicable checkout, proposal, order form, invoice, or written agreement.
You agree to pay all amounts due under the applicable arrangement.
Where recurring billing applies, you authorize Agents Velo and its payment provider to charge the applicable payment method according to the agreed billing schedule until the service is canceled or terminated.
Payment processing may be handled by a third-party payment processor. Agents Velo does not intend to store full payment-card credentials in its normal application systems.
Unless otherwise stated in an applicable agreement or required by law, amounts already earned, incurred, or paid are non-refundable.
13. Suspension and Termination
We may suspend, restrict, or terminate access to any portion of the Service if:
- you violate these Terms or the Acceptable Use Policy;
- required payments are overdue;
- testing resources are abused;
- your use creates material legal, security, operational, or reputational risk;
- you provide inaccurate or unlawful contact information, verification information, or campaign data;
- you attempt to bypass safeguards, verification requirements, or restrictions;
- a third-party provider prevents us from continuing the service;
- we are required to do so by law; or
- continuing the service is no longer reasonably feasible.
You may stop using the Service subject to the cancellation or termination terms applicable to your service arrangement.
Data following termination will be handled according to our Privacy Policy and any applicable written agreement.
14. Service Availability
We aim to provide reliable services, but Agents Velo depends on telecommunications networks, AI providers, cloud infrastructure, internet connectivity, integrations, and other systems that may occasionally fail or become unavailable.
We do not guarantee:
- uninterrupted availability;
- successful completion of every call or message;
- error-free AI responses;
- continuous availability of phone numbers or telecommunications services;
- successful third-party integrations;
- successful completion of every sign-in, verification, or security challenge;
- perfect transcription or analysis;
- that every communication will reach its intended recipient; or
- that the Service will operate without errors or delays.
We may perform maintenance, updates, migrations, or other changes that temporarily affect service availability.
15. No Guarantee of Results
Agents Velo does not guarantee any particular business outcome.
We do not guarantee that an agent will:
- generate sales or revenue;
- convert leads;
- book appointments;
- reduce staffing requirements;
- accurately handle every conversation;
- satisfy every caller or customer;
- achieve a particular performance metric; or
- comply with every legal requirement applicable to your organization merely because the agent is configured through Agents Velo.
Customers remain responsible for reviewing system performance and determining whether continued use is appropriate.
16. Acceptable Use
Your use of Agents Velo is subject to our Acceptable Use Policy.
You may not use the Service for unlawful, fraudulent, deceptive, abusive, harmful, unauthorized, or prohibited purposes.
We may investigate suspected misuse and take reasonable action to prevent or stop violations.
17. Disclaimer of Warranties
The Service is provided "as is" and "as available."
To the fullest extent permitted by law, Agents Velo disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and other warranties, whether express, implied, or statutory.
We do not warrant that AI-generated responses, summaries, transcripts, analytics, agent actions, recommendations, verification results, or other outputs will always be accurate, complete, lawful, appropriate, or suitable for your specific circumstances.
You are responsible for reviewing the Service and its outputs before relying on them.
18. Limitation of Liability
To the fullest extent permitted by law, Agents Velo and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:
- lost profits or revenue;
- lost business opportunities;
- business interruption;
- loss or corruption of data;
- reputational harm;
- failed calls or communications;
- missed leads or appointments; or
- failures of third-party providers or integrations.
To the fullest extent permitted by law, Agents Velo's total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:
- the amount paid by you to Agents Velo during the three months immediately preceding the event giving rise to the claim; or
- one hundred dollars ($100).
Where applicable law does not permit a particular exclusion or limitation, liability will be limited to the maximum extent permitted by law.
19. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Agents Velo and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, penalties, losses, costs, and reasonable legal fees arising from or relating to:
- your use or misuse of the Service;
- your Customer Content;
- your contact lists, account information, or campaign data;
- calls, messages, or other communications initiated on your behalf;
- failure to obtain required consent or authorization;
- violations of telemarketing, privacy, recording, messaging, or communications laws;
- failure to honor opt-out or Do Not Call requirements;
- misuse of sign-in, account, or verification features;
- professional advice or regulated decisions made or communicated by your organization;
- use of Agents Velo in a prohibited professional, high-risk, or emergency context;
- your violation of these Terms or the Acceptable Use Policy;
- infringement of third-party rights; or
- unlawful instructions or configurations provided by you.
Agents Velo may assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.
Before filing a legal claim, you agree to contact Agents Velo at [email protected] and make a reasonable attempt to resolve the dispute informally.
Unless applicable law requires otherwise, claims arising from these Terms or the Service must be brought in an appropriate state or federal court located in Minnesota.
To the extent permitted by law, you and Agents Velo agree to bring claims only in your individual capacities and not as a plaintiff or class member in a class, collective, consolidated, or representative proceeding.
These Terms do not require mandatory arbitration.
21. Changes to These Terms
We may update these Terms as our services, business practices, or legal requirements change.
When appropriate, we may notify users through an updated effective date, website notice, account notice, email, or another reasonable method.
If you do not agree to updated Terms, you must stop using the Service.
